This prospectus relates to the sale of up to 40,803,384 issued and outstanding shares of our common stock, par value $0.0001 per share, by the selling stockholders of Rackwise, Inc., a Nevada corporation, listed in this prospectus. 28,580,454 of the shares are presently issued and outstanding and 12,222,930 of the shares are issuable upon exercise of presently exercisable common stock purchase warrants. The shares offered by this prospectus may be sold by the selling stockholders from time to time in the open market, through privately negotiated transactions or a combination of these methods, at market prices prevailing at the time of sale or at negotiated prices.
We are registering the offer and sale of the common stock to satisfy registration rights we have granted to the selling stockholders. The distribution of the shares by the selling stockholders is not subject to any underwriting agreement. We will not receive any proceeds from the sale of the shares by the selling stockholders. We will bear all expenses of registration incurred in connection with this offering, but all selling and other expenses incurred by the selling stockholders will be borne by them.
Our common stock is traded on the OTC Bulletin Board under the symbol “RACK”. On January 12, 2012, the last reported sale price for our common stock was $1.03 per share.

SAN FRANCISCO--(BUSINESS WIRE DCiM ™ offering has been selected by SimpleHelix, the Huntsville, Alabama-based eCommerce hosting company, to plan, manage, and optimize their expanding IT infrastructure that currently provides hosting for more than 12,000 customers worldwide.
Specializing in eCommerce hosting, SimpleHelix needed a data center infrastructure management tool that was easy to learn, install, and use, that integrated with Excel, and whose price performance met the needs of the growing company. SAN FRANCISCO--(BUSINESS WIRE license agreement (“Agreement”) with Intel Corporation to enhance and co-market the RACKWISE ® Data Center Manager (“DCM”) software product. Under the Agreement, Rackwise will integrate device level, real-time data collection and monitoring functionality of the Intel® DCM software into the RACKWISE® DCM product. The resulting solution will provide revolutionary data aggregation, visibility and reporting not previously available in the industry to maximize data center and IT infrastructure operational efficiency and cost containment.
The Agreement calls for a technology collaboration to embed Intel® DCM software into the RACKWISE® DCM product, offering customers Data Center Infrastructure Management (“DCIM”) software solutions with real-time data monitoring and reporting capabilities at unparalleled granular levels. Advantages of the targeted offerings include expanded real-time power and thermal monitoring, enhanced failure analysis and extended visibility and analytics at the device, rack, floor and all other levels of the data center infrastructure.
