China Sunflower Group plans for Initial Public Offering

Company Snapshot:

We are engaged in the sunflower business in China, including the screening, test cultivation and sale of sunflower seeds for planting, and the production and sale of sunflower oil under the brand "Westerner."

Industry Snapshot:

The consumption of sunflower oil in China, according to "China Oilseeds and Products Supply and Distribution" issued by the United States Department of Agriculture, increased from 0.33 million tons in 2006 to 0.43 million tons in 2009, a compound annual CAGR of 9.5%, and 0.42 million tons in 2010 year-to-date (until October). The consumption of sunflower  oil in China has been growing at a faster pace than other vegetable oils.

Use Of proceeds:

The primary purposes of this offering are to create a public market for our ADSs, retain talented employees by providing them with equity incentives and obtain additional capital. We intend to use the net proceeds from this offering for capital expenditures, funding possible future acquisitions and other general corporate purposes.
