On May 21st 2010 Magic Grace Ltd, acquired the majority of the issued and outstanding common stock of POWERGAE, INC., a Nevada corporation in accordance with a stock purchase agreement by and between Andriy Kovalenko and Magic Grace Ltd. On the Closing Date, pursuant to the terms of the Stock Purchase Agreement, Magic Grace Ltd purchased from Kovalenko 14,290,000 shares of common stock for $187,500.00.
